TERMS & CONDITIONS OF SALE, SUPPLY AND SERVICE

- Introduction
Wood Enterprise Limited is a Ugandan furniture manufacturing and wood-products company established in 2012, specializing in wooden doors, wardrobes, kitchen units, office and residential furniture, beds, bathroom furniture, counters, partitions, industrial pallets, CNC services and related interior furnishing solutions.
By placing an order, making a payment, signing a quotation, approving a design or instructing Wood Enterprise Limited to commence production, the Customer confirms that they have read, understood and accepted these Terms and Conditions.
- Quotations and Estimates
2.1. All quotations issued by Wood Enterprise Limited shall specify, where applicable:
- Product description;
- Quantity;
- Dimensions and specifications;
- Materials;
- Finish and colour;
- Hardware and accessories;
- Manufacturing costs;
- Delivery costs;
- Installation costs;
- Applicable taxes;
- Estimated production period; and
- Payment requirements.
2.2. Unless otherwise stated in writing, quotations shall remain valid for the period specified on the quotation.
2.3. Prices may change where there are significant changes in material costs, exchange rates, transportation costs, imported components or other factors affecting production.
2.4. A quotation does not constitute a binding production order until it has been formally accepted and the required deposit or payment has been received.
2.5. Any additional work or specifications requested after quotation approval may result in additional charges.
- Product Specifications and Custom Orders
3.1. Many products manufactured by Wood Enterprise Limited are custom-made according to the Customer’s requirements.
3.2. Customers are responsible for confirming that approved measurements, designs, colours, finishes and specifications are correct before production begins.
3.3. Once a custom order has entered production, changes may not be possible without additional costs and/or an adjustment to the delivery timeline.
3.4. Wood Enterprise Limited reserves the right to make reasonable technical adjustments where necessary to improve structural strength, functionality, safety or manufacturing quality, provided such adjustments do not materially change the agreed design.
3.5. Natural timber contains variations in grain, colour, texture and knots. Such variations are inherent characteristics of natural wood and shall not automatically be regarded as defects.
- Design Approval
4.1. Where drawings, 3D designs, samples or specifications are provided, the Customer shall review and approve them before production.
4.2. Customer approval confirms acceptance of the design, dimensions, materials, finishes, colours and general appearance shown or specified.
4.3. Wood Enterprise Limited shall not be responsible for errors that arise from measurements, drawings, designs or specifications supplied or approved by the Customer.
4.4. Where Wood Enterprise Limited undertakes site measurements, reasonable care shall be taken to ensure accuracy; however, existing site conditions may require technical adjustments during installation.
- Payment Terms
5.1. Payment terms shall be stated in the applicable quotation, invoice, contract or purchase order.
5.2. For custom manufacturing orders, Wood Enterprise Limited may require a deposit before procurement of materials and commencement of production.
5.3. Production may not commence until the required deposit or initial payment has been received and the order has been confirmed.
5.4. The balance shall become payable according to the agreed payment schedule.
5.5. For large commercial or institutional projects, payment milestones may be agreed in writing.
5.6. Payments shall be made through the official payment channels communicated by Wood Enterprise Limited.
5.7. The Customer shall obtain and retain proof of payment.
5.8. Where payment is delayed, Wood Enterprise Limited reserves the right to suspend production, delivery or installation until the outstanding amount is settled.
- Production
6.1. Production shall commence after:
- Order confirmation;
- Required payment/deposit;
- Approval of designs and specifications; and
- Confirmation of measurements and materials where applicable.
6.2. Production timelines provided by Wood Enterprise Limited are estimates unless a specific completion date has been expressly agreed in writing.
6.3. Production timelines may be affected by:
- Changes requested by the Customer;
- Delayed approvals;
- Delayed payments;
- Unavailability of specified materials;
- Importation delays;
- Transportation disruptions;
- Power interruptions;
- Equipment breakdowns;
- Site readiness; or
- Circumstances beyond the Company’s reasonable control.
6.4. The Company shall make reasonable efforts to keep customers informed of significant production delays.
- Delivery
7.1. Delivery arrangements shall be agreed with the Customer before dispatch.
7.2. Delivery charges may be included in the quotation or charged separately depending on the project.
7.3. The Customer shall ensure that the delivery location is accessible and reasonably suitable for the transportation and offloading of the products.
7.4. The Customer shall provide accurate delivery information, including the location and contact person.
7.5. Where delivery is delayed because the Customer or their representative is unavailable, inaccessible or unable to receive the products, additional transportation or storage costs may apply.
7.6. Upon delivery, the Customer or authorized representative should inspect the products and confirm receipt.
- Installation
8.1. Installation shall only be included where specifically stated in the quotation or agreement.
8.2. The Customer shall ensure that the installation site is ready before installation begins.
8.3. The installation area should have:
- Suitable access;
- Adequate lighting;
- Appropriate floor and wall conditions;
- Completed major construction works;
- Access to electricity where required; and
- Safe working conditions.
8.4. Where installation cannot proceed because the site is not ready, the Company may reschedule the installation.
8.5. Additional costs arising from repeated site visits, alterations or unexpected site conditions may be charged to the Customer where applicable.
- Customer Responsibilities
The Customer shall:
- Provide accurate information and specifications.
- Provide correct measurements where the Customer is responsible for measurements.
- Approve designs promptly.
- Make payments according to agreed terms.
- Provide access to the site.
- Ensure the installation environment is ready.
- Provide a suitable person to receive and inspect delivered products.
- Notify the Company promptly of any concerns.
- Use and maintain products according to the Company’s recommendations.
- Quality Standards
Wood Enterprise Limited is committed to producing furniture and wood products that meet agreed specifications and our internal quality standards.
Products undergo appropriate inspection during production and before delivery where reasonably practicable.
Quality assessment may include:
- Dimensions;
- Structural integrity;
- Alignment;
- Finishing;
- Functionality;
- Hardware;
- Assembly;
- Appearance; and
- Conformity with approved specifications.
Minor variations resulting from natural timber characteristics or normal manufacturing tolerances shall not necessarily constitute defects.
- Product Warranty
11.1. Wood Enterprise Limited provides a three-month warranty across its product portfolio, subject to the applicable warranty conditions.
11.2. The warranty covers qualifying manufacturing or workmanship defects that arise under normal and intended use.
11.3. The warranty does not normally cover damage caused by:
- Misuse;
- Negligence;
- Accidents;
- Unauthorized modification;
- Improper installation by third parties;
- Improper maintenance;
- Excessive moisture or water exposure;
- Termite or pest damage;
- Fire;
- Natural disasters;
- Normal wear and tear; or
- Failure to follow recommended care instructions.
11.4. Warranty claims shall be assessed by Wood Enterprise Limited before any repair, replacement or other remedy is approved.
11.5. Where a warranty claim is valid, Wood Enterprise Limited may, at its reasonable discretion, repair, replace or otherwise remedy the affected product or component.
- Returns and Exchanges
12.1. Because many Wood Enterprise Limited products are manufactured specifically according to customer specifications, custom-made products may not be eligible for return or exchange simply because the Customer changes their mind.
12.2. Any request for return, exchange or cancellation shall be assessed based on the nature and stage of the order.
12.3. Standard, unused products may be considered for return where agreed in writing and where the product remains in its original condition.
12.4. Products that have been installed, modified, damaged or customized may not be eligible for return.
- Cancellation of Orders
13.1. Customers wishing to cancel an order must notify Wood Enterprise Limited in writing.
13.2. Cancellation of an order after production or procurement has commenced may result in deductions for:
- Materials already purchased;
- Labour already undertaken;
- Design and preparation costs;
- Transportation;
- Imported components;
- Production already completed; and
- Other reasonable costs incurred by the Company.
13.3. Where a product has been substantially manufactured or completed, cancellation may not be possible.
13.4. Any refundable amount, where applicable, shall be determined after consideration of costs already incurred by the Company.
- Changes to Orders
14.1. Customers may request changes before production begins.
14.2. Changes requested after production begins shall be subject to feasibility, additional costs and revised timelines.
14.3. Changes shall only be implemented after the additional costs, where applicable, have been accepted by the Customer.
- Materials and Natural Timber Variations
Wood Enterprise Limited uses natural timber and wood-based materials in many of its products.
Natural timber may naturally vary in:
- Colour;
- Grain pattern;
- Texture;
- Knots;
- Shade;
- Density; and
- Surface appearance.
These characteristics contribute to the uniqueness of wooden furniture and shall not ordinarily be considered manufacturing defects.
Where a specific timber species, colour or finish is requested, availability shall be confirmed before production.
- Imported Products and Components
16.1. Wood Enterprise Limited may import selected furniture products, materials, fittings or components where required by the Customer or where such products are not readily available locally.
16.2. Imported products may be sourced from markets including China and Turkey.
16.3. Where imported materials are affected by shipping, customs, exchange-rate fluctuations or international supply-chain delays, the Company shall communicate significant impacts to the Customer where reasonably practicable.
- CNC Services
For CNC services, including:
- Wood carving;
- Engraving;
- Sculptures;
- Business logos;
- 3D letters;
- Illuminated signage;
- Decorative panels; and
- Customized wood designs,
the Customer shall provide accurate artwork, logos, measurements or design specifications where required.
The Customer is responsible for ensuring that they have the necessary rights or authorization to use any third-party logo, artwork, photograph, trademark or copyrighted material supplied to Wood Enterprise Limited.
- Industrial Pallets
18.1. Pallets shall be manufactured according to agreed dimensions, load requirements and specifications.
18.2. The Customer shall communicate the intended use and relevant load requirements where applicable.
18.3. Pallet performance may depend on handling practices, storage conditions, load distribution, moisture exposure and other operating conditions.
18.4. Pallets shall not be used beyond their agreed specifications or intended purpose.
18.5. Repair services shall be assessed based on the condition and structural integrity of the pallets.
- Intellectual Property
19.1. Designs, drawings, technical concepts, photographs, graphics, branding materials and other intellectual property created by Wood Enterprise Limited remain the property of the Company unless otherwise agreed in writing.
19.2. Customers shall not reproduce, distribute or commercially exploit Wood Enterprise Limited’s proprietary designs without written authorization.
19.3. Where a Customer provides their own design, logo or artwork, the Customer confirms that they have the necessary rights and authorization for its use.
- Photography and Portfolio Use
Wood Enterprise Limited may photograph completed products and projects for its portfolio, website, social media, marketing materials and company profile, provided that doing so does not disclose confidential customer information or violate a written confidentiality agreement.
Where a project is subject to confidentiality restrictions, the Customer should notify Wood Enterprise Limited before completion or photography.
- Confidentiality
Wood Enterprise Limited shall treat confidential commercial information provided by customers with reasonable care.
Customers may also be required to keep confidential any proprietary designs, pricing structures, technical information or business information provided by Wood Enterprise Limited.
Where a project requires formal confidentiality obligations, the parties may enter into a separate Non-Disclosure Agreement (NDA).
- Health and Safety
Wood Enterprise Limited is committed to maintaining safe working practices.
Customers and visitors entering production areas, workshops or installation sites must follow applicable safety instructions.
The Company reserves the right to restrict access to production areas where necessary for safety, security or operational reasons.
- Force Majeure
Wood Enterprise Limited shall not be liable for delays or inability to perform its obligations where such circumstances arise from events reasonably beyond its control, including:
- Natural disasters;
- Fire;
- Flooding;
- Epidemics or pandemics;
- Government restrictions;
- Civil unrest;
- Transportation disruptions;
- Significant supply-chain interruptions;
- Power disruptions;
- Industrial action;
- Import restrictions;
- Acts of third parties; or
- Other circumstances beyond reasonable control.
The Company shall make reasonable efforts to resume performance as soon as practicable.
- Limitation of Liability
Wood Enterprise Limited shall not be liable for indirect, consequential or incidental losses arising from the use or inability to use a product, except where liability cannot lawfully be excluded.
The Company’s liability in relation to a product shall, where legally permissible, be limited to the remedies applicable under the relevant quotation, contract, warranty or applicable law.
Nothing in these Terms and Conditions shall exclude or restrict any liability that cannot legally be excluded or restricted.
- Complaints and Dispute Resolution
Customers are encouraged to raise concerns directly with Wood Enterprise Limited as soon as possible.
The Company shall seek to resolve complaints fairly and professionally through communication, investigation and appropriate corrective action.
Where a dispute cannot be resolved through direct negotiation, the parties may consider appropriate alternative dispute-resolution mechanisms before pursuing formal legal proceedings.
- Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Uganda.
Any legal proceedings arising from these Terms and Conditions shall be subject to the jurisdiction of the appropriate courts of Uganda, unless otherwise agreed in writing.
- Amendments to These Terms
Wood Enterprise Limited reserves the right to update these Terms and Conditions from time to time to reflect changes in its business operations, products, services or applicable legal requirements.
The version applicable to a particular order shall generally be the version accepted at the time the order was confirmed, unless otherwise agreed in writing.
- Acceptance of Terms
By signing a quotation, purchase order, contract, order confirmation or by making payment towards an order, the Customer acknowledges that they have read, understood and accepted these Terms and Conditions.
Where a Customer’s purchase order contains terms that conflict with these Terms and Conditions, the parties shall clarify and agree in writing which terms shall apply.
